Terms of Service

These Terms of Service ("Terms") govern your access to and use of the mobile applications, website (joinbidro.com), and related services (together, the "Services") operated by Bidro LLC ("Bidro," "we," "us," or "our"). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. What Bidro is (and is not)

Bidro is a marketplace that connects homeowners and other customers ("Customers") with independent home-service professionals ("Pros") for services such as pressure washing, window cleaning, junk removal, drywall patch/repair, knob/lock install/replace, and tree/bush trimming. Bidro currently serves customers in Denton County, Texas, and accepts Pros across the Dallas–Fort Worth metroplex. Primary account types are Customer and Pro.

Pros are independent businesses, not employees, agents, or contractors of Bidro. Bidro does not itself perform home services, does not employ Pros, and is not a party to the service agreement formed between a Customer and a Pro when a quote is accepted. Bidro provides the platform through which Customers and Pros find each other, communicate, and transact.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Services.
  • You may sign up as a Customer (to book work) or a Pro (to quote on and perform jobs).
  • You agree to provide accurate, current, and complete information when creating an account and to keep it updated.
  • You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately at support@joinbidro.com if you suspect unauthorized use.
  • One person or business may not maintain multiple accounts for the purpose of manipulating rankings, reviews, or the new-vendor boost.

3. Pro verification

Before accepting jobs, Pros must complete our verification process, which includes submission of a current certificate of insurance (COI) and either (a) verification of business registration — a certificate of formation or incorporation plus good standing with the state — for LLCs and corporations, or (b) a government-issued photo ID in the Pro's legal name for individuals / sole proprietors. Pros must maintain valid insurance coverage and, where applicable, keep their business registration in good standing for as long as they accept jobs on the platform, and must promptly notify us if either lapses. Verification reflects information provided to us at the time of review; it is not a guarantee, endorsement, or warranty of any Pro's work. Bidro may suspend or remove Pros whose verification information is or becomes inaccurate, expired, or falsified. A "Verified" badge is a point-in-time review only — not ongoing insurance by Bidro and not a warranty of work quality. Insurance certificates, government IDs, and business-registration documents are stored and reviewed within Bidro's AWS environment and are not shared with customers or other Pros.

4. How the marketplace works

  • Job posts and quotes. Customers post jobs describing the work requested. Pros may respond with quotes. A quote accepted by a Customer forms a service agreement directly between that Customer and that Pro on the quoted terms.
  • Ranking. Pro visibility and ordering in the Services are determined by factors including completed jobs, review quality, responsiveness, and reliability. Bidro does not sell placement or accept payment to improve a Pro's ranking. New Pros may receive a temporary visibility boost to allow them to establish a track record.
  • Reviews. Only Customers whose job was completed and paid through the Services may leave a review of the Pro for that job. Reviews must be honest and based on actual experience. Buying, selling, incentivizing, or coercing reviews is prohibited.

5. Payments and fees

  • Card on file — no charge at booking. When a Customer books a Pro, a payment card is saved on file. Bidro does not charge that card at booking and does not place a hold on it.
  • Charge on customer approval. After the Pro marks the job complete, the Customer has seventy-two (72) hours to confirm the work (which charges the saved card) or report that something is not right. If the Customer does not respond within those 72 hours, new-job posting may be paused until they respond. Bidro support may help the parties communicate, but Bidro support does not approve or decline charges. The Customer's card is charged only when the Customer explicitly taps Approve & Pay.
  • Direct charge to the Pro. When the Customer approves a completed job, their saved card is charged directly by the Pro through Stripe, using the Pro's own payment account. The Pro is the merchant of record. Bidro never receives or forwards those funds.
  • Platform fee. Bidro is paid by taking a 6% service fee on the pre-tax job total as an application fee on that charge — never billed separately to the Customer. Bidro does not charge Pros lead fees or fees for ranking placement.
  • Refunds and tips. Refunds and chargebacks are handled by the Pro from their own account. Tips go to the Pro; Bidro keeps $0 of tips.
  • Payment processing. Payments are processed by third-party processors (including Stripe). Bidro does not store full payment card numbers. By transacting on the Services you also agree to the applicable processor's terms.
  • Sales tax. Where the service is taxable, Texas sales tax is included in the Customer's total and is collected by Bidro as a registered Texas marketplace facilitator (Taxpayer No. 32106651022) for remittance to the State. Pros remain responsible for their own income-tax obligations.

6. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms;
  • Circumvent the platform to avoid fees — for example, using the Services to find a counterparty and then deliberately moving the transaction off-platform to evade the completed-job fee;
  • Post false, misleading, or fraudulent job posts, quotes, credentials, insurance or business-registration documents, or reviews;
  • Manipulate or attempt to manipulate rankings, reviews, or the new-vendor boost;
  • Harass, threaten, or discriminate against other users;
  • Scrape, reverse engineer, or interfere with the operation or security of the Services;
  • Use another user's account or share your account credentials.

7. Content

You retain ownership of content you submit to the Services (such as job descriptions, photos, videos, profiles, messages, and reviews). By submitting content, you grant Bidro a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content as needed to operate, provide, and improve the Services. You represent that you have the rights to the content you submit and that it does not violate any law or third-party right. We may remove content that violates these Terms.

8. Termination

You may stop using the Services and delete your account at any time (in the app under Me → Delete account, or by contacting us). We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a risk to other users or to Bidro, or where required by law. Sections of these Terms that by their nature should survive termination (including Sections 9–12) will survive.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BIDRO DOES NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR TIMELINESS OF SERVICES PERFORMED BY PROS, AND DOES NOT GUARANTEE THAT ANY CUSTOMER OR PRO WILL PERFORM AS AGREED. VERIFICATION AND RANKING FEATURES ARE INFORMATIONAL AIDS, NOT GUARANTEES. YOUR AGREEMENTS WITH OTHER USERS ARE AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDRO AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY SERVICES PERFORMED BY PROS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDRO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES BIDRO RECEIVED FROM YOU IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless Bidro and its officers, members, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) in the case of Pros, services you perform for Customers.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at support@joinbidro.com and give us a reasonable opportunity to resolve the issue informally. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Denton County, Texas, and you consent to personal jurisdiction and venue there. Either party may bring qualifying claims in small-claims court instead.

13. App store terms

If you download our apps from the Apple App Store or Google Play, you also agree to comply with the applicable store's terms. Apple and Google are not parties to these Terms, are not responsible for the Services, and have no obligation to provide support or maintenance for the apps. To the extent required by Apple's App Store terms, Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you as to your use of the iOS app.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Services or by email before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to updated Terms, stop using the Services and delete your account.

15. Miscellaneous

These Terms, together with the Privacy Policy and any terms disclosed in the app (such as Pro fee schedules), are the entire agreement between you and Bidro regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
